- Assist with the preparation, negotiation and review of various legal contracts for the Bank's Global Markets (GM) business, including broker contracts, IT contracts, custodian agreements, service level agreements etc.
- Prepare and review GM products and corporate investment products related documents, including marketing materials, seminar materials, product termsheet, product factsheet, transaction confirmation and other transactional documents and agreements etc.
- Provide oversight on the negotiation and execution process of Traded Market Documentation for the Bank including, without limitation, ISDA Master Agreement, Credit Support Annex, documentation for Margin Rules for Non-centrally Cleared Derivatives, GMRA, GMSLA and any other related agreements.
- Support the preparation, negotiation and review of facility documentation, bespoke lending and financing (bilateral and syndicated) documentation and provide quality legal advice to business to manage legal risk.
- Provide advice and support to business on the legal related issues in relation to the corporate business accounts of the Bank.
- Provide assistance and/or education and/or discussions with other team members and relevant internal stakeholders on technical issues in relation to Traded Market Documentation, lending and financing documentation & investment product documentation and be able to share any market updates with them.
- Provide legal advice, guidance and support to ensure that legal and reputational risks of the business are proactively identified and mitigated.
- Coordinating and managing relationships between internal and external stakeholders, businesses and support functions such as external clients and advisors, compliance and risk functions, operations and project managers.
- Being innovative and suggesting solutions that are pragmatic and commercially sound, in addition to being legally sound, aligned with the Bank's strategy and within the Bank's risk parameters.
- Monitoring major legislative changes and assessing the impact of such changes on the Bank's business.
- Understand, follow and demonstrate compliance with all relevant internal and external rules, regulations and procedures that apply to the conduct of the relevant business, specifically internal controls and any Compliance policy.
- Hong Kong qualified lawyer with 12 years or above experience gained in the relevant jurisdiction
- Knowledge of Traded Market Documentation, Markets products, lending, financing and investment products for corporate clients
- Experience with managing external counsel and external legal spend
- Strong technical skills. Able to provide solutions that are commercial, pragmatic and legally sound with a view to supporting business strategy
- Ability to handle complex issues and formulate practical, risk-based solutions
- Strong communication skills (both written and verbal) and strong inter-personal skills
- Lateral thinking/problem solving skills
- Stay updated with the latest legal developments and regulatory changes in the banking sector.
- Corporate experience
- Ability to prioritise and manage multiple matters from different business and functions
- Fluent in Chinese and English. Mandarin skills will be highly regarded
